RENTV sale prep (TK-10562): apply Cody cumulative-gate fixes (4 verified + JLL sharpen)

- Harmonize IWG tier: was Tier 3 (OUTREACH) vs Tier 1 (CONTACTS) — a send-order
contradiction; unified to Tier-1 flex best-fit in both, fixed sequencing tip +
stale Tier 2/3 ref.
- Surface the provisional-$200k / NameBio comp-check warning at point of use in
OUTREACH.md (was buried 3 docs deep).
- NDA: name the entity-vs-individual risk explicitly (signer must match WHOIS
registrant + the seller-ownership rep), not just 'defer to counsel'.
- Soften pre-NDA teaser 'real deal-flow' -> 'potential to be paired' (puffery risk).
- Sharpen the flattest brokerage draft (JLL) with a marketplace-defensive angle.
Cody cumulative gate = FIX-THEN-SHIP, all reproduced. PREP-ONLY; nothing sent.

**Status:** PREP-ONLY drafts for Steve. **Nothing sent, disclosed, or signed.** The teaser is what a shortlisted buyer sees *before* signing; the NDA is what they sign *before* Steve shares any traffic/demand context. Both are gated by `TK-10061-rentv-outreach-send-GATE.md` / `-business-domain-sale-GATE.md`.
**⚖️ Not legal advice.** The NDA below is a plain-language starting template — **have counsel review and adjust before signing.** Fill every `[bracket]`.
+**⚠️ Entity vs. individual — resolve before signing (don't just defer to counsel):** the signing party (`[RENTV entity / Steven Bloom]`) MUST match the party that actually owns sublease.com on WHOIS (see the registrar pre-flight in `FORSALE-SALE-PACKET.md` §4.A). If the domain is held in an LLC/corp but Steve signs as an individual, the confidentiality binds the wrong party AND the later "seller owns it free of encumbrance" representation (`FORSALE-SALE-PACKET.md` §4.B) is untrue as signed — a diligence-killer. Pick the correct legal seller once, and use it on the NDA, the purchase agreement, and escrow.
**PII rule (unchanged):** the teaser carries **no** subscriber/advertiser PII and **no** raw traffic/lead numbers. Those go only *after* an NDA is signed, in aggregate, and never before an offer is real.

> **Why now.** RENTV has covered Western-US commercial real estate since 1998. Rather than post the name to the open market, we're running a brief, invitation-only process among a short list of firms that would genuinely build on it — a marketplace vertical front door, a brokerage sublease/tenant-rep practice, or a flex-space operator.
>
-> **The opportunity.** The name anchors an obvious category brand and can be paired with real deal-flow via the RENTV audience. Demand and audience context is available in detail **under NDA** to qualified parties.

# sublease.com — Competitive-Process Outreach Pack (PREP-ONLY)
**Status:** DRAFT for Steve to send from his own inbox. **Nothing has been sent. No contact has been made.**
-**Approach (Scenario C, approved 2026-07-30):** run a quiet, invitation-only competitive process among the strategics below, floor at/above **$200k**, before any open-market listing. Frame every note as *"you're on a short shortlist"* — scarcity + competition is what produces a multiple over a single quote.

+> ⚠️ **The $200k floor is a PROVISIONAL placeholder — run the NameBio comp check (`FORSALE-SALE-PACKET.md` §1) before any live conversation.** Don't anchor a Tier-1 call to an un-validated number. Frame every note as *"you're on a short shortlist"* — scarcity + competition is what produces a multiple over a single quote.
**Drafts are individualized 1:1** — each body is written to that firm in a distinct voice (different opening, different value angle, varied close-window phrasing) so a note that gets forwarded internally reads as a genuine founder-to-exec message, not a mass blast.
**Companion docs:** named recipients → `FORSALE-OUTREACH-CONTACTS.md`; buyer teaser + mutual NDA → `FORSALE-NDA-AND-TEASER.md`; valuation + listing copy + the domain-transfer checklist → `FORSALE-SALE-PACKET.md`; scenarios/timeline → `FORSALE-SCENARIOS.md`.

+Angle: flex operators are the natural home for short-term sublease demand, and at ~$200k the name is *material* to a flex operator in a way it isn't to a $30B brokerage — so IWG is a best-fit, Tier-1-priority buyer (harmonized with the likelihood ranking in `FORSALE-OUTREACH-CONTACTS.md`; listed here at the end only for reading order).

## Sequencing tip
-Send Tier 1 first (they set the ceiling). Once one bites, you can honestly tell Tier 2/3 "there's active interest" — that's the competitive pressure that lifts the number. Track it all on `/forsale`.
+Send Tier 1 first — the marketplaces (CoStar/CommercialEdge/Crexi) **plus IWG (flex)**, per the likelihood ranking in `FORSALE-OUTREACH-CONTACTS.md`; they set the ceiling. Tier 2 = the brokerages (brand/defensive, longer sale). Once one bites, you can honestly tell the others "there's active interest," which is the competitive pressure that lifts the number. Track it all on `/forsale`.
